1. Who this is between

This Standard License (the "License") is between you ("Licensee" or "you") and Beach Office, LLC, a Delaware limited liability company ("Beach Office," "we"). Beach Office licenses the assets on beachoffice.co on behalf of itself, its affiliated rights-holding entities, and the Caribbean creatives who made the work (together, the "Content Owners"). By purchasing or downloading an Asset, you agree to this License and to the Beach Office Terms of Use. If you are purchasing on behalf of a company or organization, you confirm you have authority to bind it, and "Licensee" includes that organization.

2. Definitions

• "Asset" means any photograph, video clip, audio recording, graphic, or texture made available for license on beachoffice.co Typefaces are licensed separately under the Beach Office Font License and are not Assets under this License.

• "Project" means a finished work you create that incorporates an Asset — a video, campaign, website, publication, presentation, or similar.

• "Client Project" means a Project you create for a third-party client as part of paid work.

• "Editorial Asset" means an Asset marked "Editorial Use Only" on its product page.

• "Contributor" means the individual creative credited on an Asset's product page.

3. What you're getting

On payment, Beach Office grants you a perpetual, worldwide, non-exclusive, non-transferable license to download, reproduce, modify, and incorporate the Asset into your own Projects, subject to this License. One purchase covers one Asset and may be used in as many of your own Projects as you like. This is a license to use, not a transfer of ownership.

4. Permitted uses (Standard)

Under this License you may use an Asset in:

(a) websites, apps you operate (not apps for sale), email, and other digital media you control;

(b) social media, including channels you monetize, and paid social and digital advertising;

(c) presentations, pitch materials, and internal communications;

(d) editorial contexts such as articles, blogs, documentaries, and news coverage;

(e) printed materials — brochures, flyers, packaging, posters, publications — up to [500,000] total copies per Asset;

(f) one Client Project per purchase, on the terms in Section 8.

5. Uses that require an Extended or Enterprise License

The following are not covered by this License and require a separate license from Beach Office, available at staff@beachoffice.co:

(a) merchandise, print-on-demand, or any physical product for sale where the Asset is the primary value of the product (prints, apparel, mugs, cards, wall art);

(b) templates, themes, presets, or any product for resale or distribution in which the Asset is a component;

(c) broadcast television, theatrical, streaming original programming, out-of-home, or billboard advertising;

(d) apps, games, or software distributed to end users;

(e) print runs above the limit in Section 4(e);

(f) exclusive rights of any kind;

(g) use by an organization with more than [50] employees, other than a single Client Project under Section 8.

6. What you can't do

(a) Redistribute or resell. You may not sell, license, share, or make an Asset available as a standalone file, in a library, collection, database, or stock platform, or in any way that lets a third party extract and reuse it.

(b) Trademark. You may not use an Asset, in whole or part, in a logo, trademark, service mark, trade name, or business name, or register any claim of rights in it.

(c) Content identification. You may not register an Asset, or a Project in a way that captures the Asset, with YouTube Content ID, Facebook Rights Manager, or any similar system.

(d) AI. You may not upload, input, or otherwise provide an Asset to any generative AI, machine-learning, or model-training service, tool, or dataset, for any purpose, including as a reference, prompt, style input, or training material. This applies whether or not the tool claims rights in its output.

(e) Defamatory or unlawful use. You may not use an Asset in a way that is pornographic, obscene, defamatory, unlawful, or that portrays any identifiable person in a false or offensive light, or implies that a person or brand in the Asset endorses your product or position.

(f) Cultural misrepresentation. Assets on Beach Office depict real Caribbean people, places, and practices. You may not use an Asset in a way that stereotypes, caricatures, or mocks Caribbean people, places, or cultures, or that presents Caribbean culture as a generic backdrop in a manner a reasonable member of that community would find demeaning. Beach Office decides in good faith whether a use falls under this Section.

(g) Sensitive subjects. If you use an Asset depicting a person in connection with a sensitive subject (health, sexuality, substance use, crime, politics, religion), you must include a visible notice such as "Stock image, posed by model" and may not imply the person's actual involvement.

(h) False authorship. You may not claim an Asset as your own original work or present it in a portfolio, reel, or competition entry as work you created.

(i) Editorial Assets. Editorial Assets may be used only for editorial purposes under Section 4(d), not for advertising, promotion, or commercial endorsement.

7. Attribution

Where a Project includes credits, acknowledgments, or a caption — end credits, a photo byline, a "credits" or "sources" section, an image caption on a website — you must credit the Asset in the form:

"[Contributor name] via Beach Office" in a size and placement consistent with other credits in the Project. Where a Project has no credits (a social post, a banner ad, a slide), attribution is not required but is encouraged; the Asset's product page provides a ready-to-copy credit line. You may not use the Beach Office name or logo, or a Contributor's name, for any purpose other than this credit (see Section 12).

8. Agencies and client work

If you are an agency, studio, or freelancer creating a Client Project, one purchase covers one Client Project for one named client. You may deliver the finished Project to that client, and the client may use the finished Project as permitted by this License. The client may not extract the Asset for other uses, and neither you nor the client may reuse the Asset in a different Project without a new purchase. You are responsible for ensuring your client complies with this License.

9. Audio

Audio Assets are licensed for synchronization with visual media only. You may not distribute audio Assets as standalone recordings, on music or podcast platforms, as ringtones, or in playlists, and may not create remixes or derivative audio works for standalone release. This License does not cover public performance royalties, mechanical royalties, or collecting-society fees, which remain your responsibility where applicable.

10. Modifications

You may crop, color-grade, edit, composite, and otherwise modify an Asset for use in a Project, provided the result complies with this License. Modifications do not transfer any ownership of the Asset to you, and Beach Office and the Content Owners retain all rights in the original.

11. Releases

Beach Office holds model and property releases for Assets not marked Editorial. Releases cover the uses permitted by this License; they do not cover uses excluded under Sections 5 and 6, and additional releases may be required for those. Beach Office does not warrant that a release exists for any Editorial Asset.

12. Contributor names

You may use a Contributor's name only to give the credit in Section 7. You may not use a Contributor's name, likeness, or Beach Office's name in a way that suggests sponsorship, collaboration, or endorsement of you, your client, or your Project.

13. Beach Office may feature your work

You grant Beach Office the right to display, link to, and reference Projects that include licensed Assets on Beach Office's website, social channels, newsletter, and marketing, for the purpose of showcasing how the Assets are used. If you do not want a specific Project featured, email staff@beachoffice.co and we will honor the request.

14. Ownership

All rights not expressly granted are reserved by Beach Office and the Content Owners. Assets are protected by copyright and other laws. You acquire no ownership, and nothing in this License limits Beach Office's or any Content Owner's right to license the same Asset to others.

15. Term and termination

This License is perpetual unless terminated. Beach Office may terminate it immediately if you breach Section 5 or 6, and on seven days' written notice for any other breach you fail to cure. On termination you must stop using the Asset, delete all copies, and, on request, confirm in writing that you have done so. Fees are non-refundable on termination for breach. Sections 6, 12, 14, 16, 17, and 19 survive termination. Beach Office and the Content Owners may issue takedown notices under the DMCA or equivalent laws for any use outside this License.

16. Warranties and liability

Beach Office warrants that it has the right to grant this License. Otherwise, Assets are provided "as is," without warranty of merchantability or fitness for a particular purpose. Beach Office's total liability under this License is limited to the fee you paid for the Asset. Beach Office is not liable for indirect, incidental, consequential, or punitive damages.

17. Indemnity

You will defend and indemnify Beach Office, its affiliates, and the Content Owners against claims, losses, and costs (including reasonable legal fees) arising from your breach of this License or your use of an Asset outside its terms.

18. Purchases and refunds

Assets are digital goods delivered by download. All sales are final once the download link is issued. If a file is corrupt or does not match its product page description, contact staff@beachoffice.co within 14 days and we will replace it.

19. Governing law

This License is governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction.

20. General

This License and the Terms of Use are the entire agreement between you and Beach Office regarding the Asset. If any provision is unenforceable, the rest remains in effect. Beach Office may assign this License to an affiliate or successor; you may not assign it. Beach Office may update this License for future purchases; the version in effect at the time of your purchase governs that purchase.
