TERMS OF SERVICE
1. Who we are and what these Terms cover
Beach Office, LLC, a Delaware limited liability company ("Beach Office," "we," "us"), operates beachoffice.com and related services (the "Site"). These Terms of Service ("Terms") govern your access to and use of the Site, whether as a visitor, newsletter subscriber, or account holder. The Beach Office Standard License, the Privacy Policy, and any other policies posted on the Site are incorporated by reference. If you purchase an Asset, the Standard License governs your use of that Asset; where a signed Enterprise or Extended License exists between you and Beach Office, that agreement controls over these Terms to the extent they conflict. By using the Site you agree to these Terms. If you don't agree, don't use the Site.
2. Definitions
"Asset" has the meaning given in the Standard License.
"Content" means everything on the Site other than Assets — text, design, code, the catalog, previews, and Beach Office's editorial and marketing material.
"Contributor" means a creative whose work is licensed through Beach Office. "You" includes any organization on whose behalf you use the Site.
3. Eligibility and accounts
(a) You must be at least 18 and able to form a binding contract to purchase or download from the Site.
(b) An account is required to purchase, download, or access license records. You must provide accurate information, keep it current, and not impersonate any person or organization.
(c) You are responsible for your credentials and for all activity under your account. Tell us immediately at staff@beachoffice.co if you suspect unauthorized use.
(d) One account per person or organization. Accounts may not be shared, sold, or transferred.
(e) If you're using the Site on behalf of an organization, you confirm you have authority to bind it.
4. The Site and previews
(a) The Site displays a catalog of Assets with watermarked or reduced-resolution previews. Previews are for evaluation only and may not be used in any final, published, or client-facing work, or anywhere outside the Site.
(b) We may add, remove, or change Assets, features, pricing, and availability at any time. We don't guarantee any Asset will remain available.
(c) Beach Office is a licensor of creative work. We are not a party to any relationship between you and your clients, collaborators, or the platforms where you publish.
5. Licensing
(a) Purchasing an Asset grants you the rights in the Beach Office Standard License and nothing more. No ownership transfers.
(b) Each purchase creates a license record in your account. Keep it; it is your proof of license.
(c) Uses outside the Standard License require an Extended or Enterprise License. Contact staff@beachoffice.co
(d) Typefaces are licensed under the separate Beach Office Font License.
6. Purchases, payment, and refunds
(a) Prices are in US dollars unless stated otherwise. Payments are processed by third-party providers (currently Shopify Payments); their terms apply to the transaction. We don't store full payment card details.
(b) You're responsible for any taxes, duties, or foreign-transaction charges arising from your purchase.
(c) Assets are digital goods. All sales are final once a download link is issued. If a file is corrupt or doesn't match its product page, contact staff@beachoffice.co within 14 days for a replacement. Where consumer-protection law in your jurisdiction gives you a non-waivable cancellation right, that right applies.
(d) We may cancel or refuse an order where we suspect fraud, misrepresentation of License details, or a violation of these Terms.
7. Intellectual property
(a) Assets are owned by Beach Office, its affiliates, and Contributors, and are protected by copyright and other laws.
(b) The Content, Site design, code, and catalog are owned by Beach Office and its affiliates. You may not copy, reproduce, or create derivative works from them except as necessary to browse the Site.
(c) "Beach Office," the Beach Office wordmark, the BO mark, and related names and logos are trademarks of Beach Office and its affiliates. You may not use them without written permission, except to give the credit required by the Standard License.
(d) Contributor names may be used only for credit, as set out in the Standard License.
8. Acceptable use
You may not:
(a) access the Site or catalog by any automated means — bots, scrapers, crawlers, headless browsers — or bulk-download, mirror, or index Assets or previews;
(b) remove, alter, or circumvent watermarks, download limits, access controls, or any other technical protection;
(c) reverse engineer, decompile, or probe the Site or its infrastructure, or introduce malware or code intended to disrupt it;
(d) use the Site to build, populate, or benchmark a competing library, dataset, or service;
(e) share, resell, or make Assets or previews available to anyone outside the scope of your License;
(f) misrepresent yourself, your organization, or your intended use when purchasing;
(g) use the Site for any unlawful purpose or in violation of any third-party right.
9. AI and machine learning
(a) The Site, Content, and Assets may not be used, in whole or in part, to train, fine-tune, evaluate, prompt, or otherwise operate any artificial-intelligence or machine-learning system, or to build any dataset for those purposes.
(b) Any person or organization engaged in developing, training, or operating generative-AI systems that produce or manipulate images, video, audio, or text is prohibited from accessing the Site or licensing Assets for any purpose related to those activities.
(c) These restrictions apply in addition to the AI provisions of the Standard License and survive termination.
10. Contributor inquiries, submissions, and feedback
(a) Beach Office's contributor network is curated and invite-only. We don't accept unsolicited submissions of creative work through the Site. If you send us work we didn't ask for, we're under no obligation to review, return, or compensate for it, and you agree we aren't liable if our future catalog resembles it. Contributor inquiries can be sent to [staff@beachoffice.co].
(b) If you send us feedback or suggestions about the Site, we may use them without restriction or compensation.
11. Communications
(a) By creating an account you agree to receive transactional emails about your account, purchases, and license records. These satisfy any requirement that notices be in writing.
(b) Marketing emails, including the Beach Office newsletter, are sent only with your opt-in consent. You can unsubscribe at any time using the link in any email.
(c) Keep your email address current. Notices from us are effective when sent to the address on your account.
12. Privacy
Our Privacy Policy explains what we collect, why, and your rights. We do not sell your personal data. By using the Site you agree to the Privacy Policy.
13. Copyright complaints
(a) We respect the intellectual property of others and expect the same of our users and Contributors. If you believe material on the Site infringes your copyright, send a notice to our designated agent containing: identification of the work claimed to be infringed; identification of the material and its location on the Site; your contact information; a statement of good-faith belief that the use isn't authorized; a statement under penalty of perjury that the notice is accurate and you're authorized to act; and your physical or electronic signature.
(b) Designated agent: [Name], [Address], staff@beachoffice.co
(c) We may remove material, suspend accounts of repeat infringers, and, where an Asset is subject to a credible claim, withdraw it from the catalog and ask licensees to stop using it.
(d) Beach Office and Contributors may issue takedown notices for any use of Assets outside a valid License.
14. Monitoring and enforcement
(a) We may monitor use of the Site and investigate suspected violations using automated systems, user reports, and human review.
(b) We may suspend or terminate your account and any associated Licenses, without refund, if you breach these Terms or the Standard License, infringe a third party's rights, or use the Site in a way that could create liability for us or harm to Contributors.
(c) We may disclose your identity to a third party who credibly claims your use of an Asset violates their rights, and cooperate with law enforcement and courts as required.
(d) You may close your account at any time. Closing your account does not terminate valid Licenses for Assets you've already purchased, but you will lose access to your license records on the Site, so download them first.
15. Third-party services
The Site relies on third-party providers for hosting, payment, content delivery, and email. Those providers have their own terms and policies. We aren't responsible for their services, and links from the Site to third-party sites don't imply endorsement.
16. Disclaimers
The Site, Content, and Assets are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, except the warranty of title given in the Standard License. We don't warrant that the Site will be uninterrupted, secure, or error-free, or that any Asset will meet your requirements.
17. Limitation of liability
To the fullest extent permitted by law, Beach Office and its affiliates, officers, members, employees, Contributors, and agents are not liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, arising from your use of the Site or Assets, however caused. Our total liability to you for all claims arising from the Site or any Asset is limited to the amount you paid Beach Office in the twelve months before the claim arose. Nothing in these Terms limits liability that can't be limited by law.
18. Indemnity
You will defend, indemnify, and hold harmless Beach Office, its affiliates, and Contributors from claims, damages, and costs (including reasonable attorneys' fees) arising from your breach of these Terms or any License, your violation of law or third-party rights, or your use of the Site or Assets.
19. Dispute resolution
(a) Governing law. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.
(b) Informal resolution first. Before starting any formal proceeding, you agree to email staff@beachoffice.co describing the dispute and give us 30 days to resolve it.
(c) Arbitration. Any dispute not resolved informally will be settled by binding individual arbitration administered by [the American Arbitration Association under its Consumer Arbitration Rules], seated in Wilmington, Delaware, with hearings by video where permitted. Either party may instead bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual property.
(d) Class action waiver. You and Beach Office agree that disputes will be resolved only on an individual basis. Neither party may bring or participate in a class, collective, or representative action. If this waiver is found unenforceable for a particular claim, that claim will proceed in court rather than arbitration.
(e) Opt-out. You may opt out of arbitration by emailing staff@beachoffice.co within 30 days of first accepting these Terms. Opting out does not affect the class action waiver.
(f) Jury waiver and venue. For any dispute that proceeds in court, both parties waive trial by jury and consent to the exclusive jurisdiction of the state and federal courts in Delaware.
(g) Time limit. Any claim arising from these Terms must be brought within one year after it arises.
20. Changes to these Terms
We may update these Terms. The current version and its effective date are always posted on the Site. Material changes take effect 30 days after posting, and we'll notify account holders by email. Your continued use after the effective date means you accept the changes. Changes don't affect Licenses purchased under a prior version.
21. Export and sanctions
You may not use the Site if you're located in, or ordinarily resident in, a country subject to comprehensive US sanctions, or if you're on a US government restricted-party list.
22. General
(a) These Terms, the Standard License, the Privacy Policy, and any signed agreement between us are the entire agreement regarding the Site.
(b) If any provision is unenforceable, the rest remains in effect.
(c) We may assign these Terms to an affiliate or successor. You may not assign them.
(d) Our failure to enforce a provision isn't a waiver.
(e) Neither party is liable for delay or failure caused by events beyond its reasonable control, other than payment obligations.
(f) Sections 7, 9, 13, 16–19, and 22 survive termination.
